1. Definitions
In these Terms and Conditions, the following expressions bear the meanings set out below:
- "Agreement" means these Terms and Conditions together with any written engagement proposal or confirmation issued by us.
- "Client" or "you" means the individual or organisation that engages our services or uses this website.
- "Engagement" means a single contracted scope of work under one of our service offerings.
- "Mata Insights", "we", "us", or "our" refers to Mata Insights Pte. Ltd., a company incorporated in Singapore.
- "Services" refers to the AI integration advisory and workflow engagement services described on this website.
- "Deliverables" means any written notes, specifications, handover documents, or other outputs produced by us in the course of an Engagement.
- "Website" means the site located at mata-insights.pro.
2. Acceptance of Terms
By using this Website or engaging our Services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.
Use of this Website for informational purposes does not itself create a contractual relationship. A binding Engagement is formed only when both parties have exchanged written confirmation of scope and price.
3. Service Description
Mata Insights offers three engagement formats for organisations operating in Singapore and the surrounding region:
- Single Frame — A half-day on-site observational visit of one business process, resulting in a written observational note. SGD 225.
- Triptych Build — Design and build of a single AI-supported workflow, including a written specification, build phase, a four-week trial with selected staff, and a written handover document. SGD 425.
- Gallery Programme — A multi-month engagement covering a curated set of AI-supported workflows within one or two business functions, with fortnightly sessions, written progress notes, and quarterly reviews. SGD 815 per month.
We reserve the right to decline any engagement where we do not consider it appropriate, without obligation to provide a reason. We do not accept engagements requiring outcomes we cannot stand behind.
4. Engagement Process
4.1 Specification and Confirmation
Prior to any build or on-site work, we will provide a written outline of the proposed scope. Engagements begin only once both parties have confirmed the scope in writing.
4.2 Access and Cooperation
Where on-site visits or access to internal systems are required, the Client is responsible for arranging appropriate access in a timely manner. Delays caused by insufficient access may affect agreed timelines.
4.3 Trial Periods
The Triptych Build includes a four-week trial period. Trial periods are intended for evaluation only. We do not consider a trial period a sign-off on production readiness unless expressly agreed in writing.
4.4 Handover and Closure
Each engagement concludes with a written deliverable. Upon delivery and acceptance, the engagement is considered complete unless a subsequent engagement has been agreed.
5. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information relevant to the engagement
- Ensure that relevant staff are available for working sessions as agreed
- Promptly review and respond to specification documents, draft deliverables, and progress notes
- Not use our Deliverables in a manner inconsistent with the conditions described within them
- Comply with all applicable laws in connection with the use of any AI workflows built during an engagement
We rely on the accuracy of information provided by the Client. We are not liable for errors in Deliverables arising from inaccurate or incomplete information supplied to us.
6. Payment Terms
6.1 Fees
Fees are as stated on this Website at the time of engagement confirmation, expressed in Singapore Dollars (SGD) and inclusive of applicable goods and services tax where required.
6.2 Invoicing
Invoices for the Single Frame and Triptych Build engagements are issued upon confirmation and are due within 14 days. Gallery Programme fees are invoiced monthly in advance and are due within 14 days of invoice date.
6.3 Late Payment
Where payment is not received within the agreed period, we reserve the right to pause work on the relevant engagement until the outstanding balance is settled. We will communicate any such pause in writing.
6.4 Cancellation and Refunds
Where a Client cancels a confirmed engagement more than five business days before the first scheduled session, a full refund will be provided. Cancellations within five business days of commencement will be subject to a cancellation fee of 50% of the engagement fee. Once on-site work or build work has commenced, no refund will be issued for that phase of the engagement. Gallery Programme engagements may be ended by the Client with 30 days' written notice; monthly fees already invoiced are not refundable.
7. Intellectual Property
7.1 Our Materials
All content on this Website, including text, design, and structural elements, is the property of Mata Insights and may not be reproduced without written permission.
7.2 Deliverables
Upon full payment of the relevant engagement fee, the Client is granted a non-exclusive, non-transferable licence to use the Deliverables for their internal business purposes. Deliverables may not be resold, sublicensed, or represented as the work of any party other than Mata Insights.
7.3 Underlying Methods
Any methods, frameworks, or processes developed or applied by Mata Insights in the course of an engagement remain the intellectual property of Mata Insights, even where they inform the content of a Deliverable.
7.4 Client Materials
Materials, data, and documentation provided by the Client remain the property of the Client. We will not use them for any purpose other than the delivery of the agreed engagement.
8. Confidentiality
Both parties agree to treat as confidential any non-public information disclosed in the course of an engagement. This obligation continues for a period of three years following the conclusion of the engagement. It does not apply to information that is publicly available through no breach of this Agreement, or that is required to be disclosed by law or regulatory authority.
We do not discuss the identity or operational details of our Clients in any public or marketing context without express written consent.
9. Disclaimers
Our Services are provided in good faith and with professional care. However:
- We do not warrant that any AI workflow built during an engagement will be suitable for all operational conditions or free from error
- Observational notes and recommendations are advisory in nature. Decisions based on our Deliverables remain entirely the Client's responsibility
- We are not a legal, financial, or regulatory compliance firm. Nothing in our Deliverables constitutes legal or financial advice
- The suitability of AI tools for any given task may change as those tools are updated by their respective vendors. We recommend periodic review of any workflow in production
This Website is provided on an "as is" basis. We do not warrant that it will be continuously available or free of technical error.
10. Limitation of Liability
To the fullest extent permitted by Singapore law, Mata Insights shall not be liable for any indirect, consequential, or special loss arising from the use of our Services or Website, including loss of revenue, loss of data, or business interruption.
Our total liability to any Client in connection with a single engagement shall not exceed the total fees paid by that Client for that engagement.
Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
11. Indemnification
The Client agrees to indemnify and hold Mata Insights harmless from any claims, losses, or expenses (including reasonable legal costs) arising from the Client's misuse of Deliverables, breach of these Terms, or infringement of third-party rights in connection with materials provided to us.
12. Termination
12.1 By the Client
The Client may end an engagement at any time with written notice, subject to the cancellation terms in Section 6.4.
12.2 By Mata Insights
We reserve the right to end an engagement if the Client is in material breach of these Terms and does not remedy the breach within 10 business days of written notice, or immediately if continuing the engagement would require us to act contrary to our professional standards or applicable law.
12.3 Effect of Termination
Upon termination, we will provide a written summary of work completed to that point. Sections 7, 8, 9, 10, 11, and 13 of these Terms survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Singapore. Any dispute arising from these Terms or an engagement shall first be referred to the parties' respective senior representatives for informal resolution. If a resolution is not reached within 30 days, either party may refer the matter to mediation under the Singapore Mediation Centre, before commencing any legal proceedings. The courts of Singapore shall have exclusive jurisdiction over any matter not resolved through mediation.
14. General Provisions
- Entire Agreement: These Terms, together with any engagement confirmation, constitute the entire agreement between the parties in relation to its subject matter.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by either party to enforce any provision of these Terms shall not be construed as a waiver of that provision.
- Assignment: The Client may not assign its rights or obligations under these Terms without our prior written consent. We may assign our obligations to a suitable third party with written notice to the Client.
- Notices: Notices under these Terms shall be in writing and delivered by email to the address confirmed at the time of engagement.
15. Changes to These Terms
We may update these Terms from time to time. The date of the most recent revision is shown at the top of this page. Changes apply to engagements confirmed after the revision date. For ongoing Gallery Programme engagements, we will provide 30 days' written notice of any material change.
